This document outlines the terms of service that govern our partnership. Please read it carefully before engaging our services.

1. Agreement to Terms

By engaging Digital Vahan ("Agency," "we," "our," "us") for any service, including but not limited to web design, SEO, social media management, or political campaign management, you ("Client," "you") agree to be bound by these Terms and Conditions. These terms form a legally binding contract between you and Digital Vahan.

2. Our Services

We agree to provide the digital marketing services as detailed in the project proposal or service agreement provided to you. This may include:

  • Website Design and Development
  • Search Engine Optimization (SEO)
  • Google My Business (GMB) Management
  • Social Media Management and Advertising
  • Content Creation and Supply
  • Digital Solutions for Political Campaigns

While we strive to deliver the best possible results, we do not guarantee specific outcomes such as #1 search rankings or a specific number of leads, as these are subject to factors beyond our direct control.

3. Client Responsibilities

To ensure a successful partnership, the Client agrees to:

  • Provide all necessary information, content (text, images, logos), and access to accounts (e.g., hosting, social media profiles) required for the project in a timely manner.
  • Review our work, provide feedback, and sign off on approvals promptly to avoid project delays.
  • Appoint a single point of contact within their organization to streamline communication.

Delays from the Client's side may result in adjustments to the project timeline and, in some cases, additional costs.

4. Payments and Fees

  • Deposit: A non-refundable advance deposit of 50% of the total project cost is required before any work commences.
  • Final Payment: The remaining 50% is due upon completion of the project, prior to the final delivery or launch of the website.
  • Monthly Services: For ongoing services like SEO or social media management, payments are to be made monthly in advance.
  • Late Payments: Payments not received within 15 days of the due date will incur a late fee. We reserve the right to suspend services for overdue accounts.

5. Intellectual Property Rights

Upon receipt of the final payment, all rights and ownership of the final, delivered design and developed website are transferred to the Client. The Client will own the visual design, branding, and website code.

We reserve the right to display the completed project in our portfolio and marketing materials as an example of our work unless otherwise agreed in writing.

6. Confidentiality

We will treat all information you provide as confidential. We will not disclose any confidential information to any third party without your prior written consent. Likewise, the Client agrees to keep confidential any proprietary information or business practices shared by the Agency.

7. Limitation of Liability

In no event shall Digital Vahan or its founder, Yogesh Mishra, be liable for any lost profits, lost data, or any indirect, consequential, or punitive damages arising out of or in connection with our services. Our total liability to you for any damages shall not exceed the total amount of fees paid by you to us during the six (6) months prior to the act giving rise to the liability.

8. Termination

Either party may terminate the service agreement with 30 days written notice. If the Client terminates the agreement, the initial 50% deposit is non-refundable. If the project is terminated mid-way, the Client is responsible for payment for all work completed up to the date of termination.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal disputes will be subject to the exclusive jurisdiction of the courts in Prayagraj, Uttar Pradesh.

10. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of any changes by updating the "Last Updated" date on this page. Your continued use of our services after any such changes constitutes your acceptance of the new terms.
